- Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW, SLATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO SLATE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
- IndemnificationYou agree to indemnify, defend, and hold harmless Slate and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of our Services
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights
- Termination13.1 Termination by YouYou may terminate your account and stop using our Services at any time by contacting our support team.
13.2 Termination by UsWe may terminate or suspend your access to our Services immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.
13.3 Effect of TerminationUpon termination:
- Your right to use our Services will cease immediately
- We may delete your account and User Content
- Provisions that by their nature should survive termination will remain in effect
- Governing Law and Dispute Resolution14.1 Governing LawThese Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Slate is incorporated, without regard to conflict of law principles.
14.2 Dispute ResolutionAny disputes arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.
- General Provisions15.1 Entire AgreementThese Terms, together with our Privacy Policy, constitute the entire agreement between you and Slate regarding the use of our Services.
15.2 ModificationsWe reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through other communication methods. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.
15.3 SeverabilityIf any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.4 AssignmentYou may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
15.5 WaiverOur failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
